Fora Office Space Licence Referral Scheme - Terms and Conditions

For the purposes of these terms “Office Space” shall mean any space designated for use as an office within the Fora offering from time to time within the United Kingdom only.
1. Referral Options
1.1 Office Space - Fora will, subject to the following terms, conditions, and exclusions, pay any Fora Member or external referrer (including individuals or organisations) ("Referrer") a referral fee, which shall be:
a) 5% of the fees paid to Fora, up to a total of £20,000, in the first 12 months of a 12 month minimum term Fora Office Licence (excluding Fora Owned, Roam, and Virtual) to use office space (excluding any additional fees or costs incurred for services other than use of offices) where that licence is granted to a new Member whom the Referrer has introduced to Fora (the "Referee”); and/or) £100 (one hundred pounds) for a minimum term of 3 months on a Fora Owned licence or a Fora Roam licence,
each the “Referral Fee”.
1. 2 The two referral options together shall constitute the "Referral Schemes". Referrals for any other product, save for Fora office memberships, shall not be eligible for a Referral Fee.
2. Who can take part?
2.1 The Referral Schemes are open to all individuals and organisations, including any current Fora Members, who introduce a Referee to Fora, notwithstanding the exclusions at 2.3, 2.4 and 2.5.
2.2 Each Referrer may make as many separate referrals as they wish but may not refer an organisation or individual:
a) more than once;
b) when they are subject to an existing referral which remains open in Fora’s systems;
c) that has an existing contractual relationship with Fora;
d) that has received a tour, demonstration, or presentation (as appropriate) of an Office Space within the twelve (12) week period prior to their referral;
e) that has previously been a client or member of Fora within the last 12 months or is an affiliate of a member.
2.3 Neither of the Referral Schemes will be open to employees of Fora, their families, agents, brokers, or any third party directly associated with the administration of the Referral Schemes.
2.4 Fora reserves the right not to accept referrals between group companies and may, at its absolute discretion, also refuse to accept referrals from directors or employees of connected or affiliated companies and referrals of companies or individuals which have previously been Fora Members. In every case Fora's decision shall be final.
2.5 Fora reserves the right to with hold payment of a Fee to any Referrer with outstanding and overdue debts to Fora.
2.6 Fora will only pay a Fee to one Referrer for each Referee.
3. How does it work?
3.1 In order to initiate a referral, a Referrer must send an email, following the format outlined below, to [email protected]:

3.2 In order to participate in either of the Referral Schemes the Referee must:
a) Regarding the Referral Scheme at clause 1.1(a), inform Fora of the referral at the point of entering into a Licence for office space and provide the name of their Referrer; and
b) Regarding the Referral Scheme at clause 1.1(b), inform Fora of the referral at the point of booking a viewing and provide the name of their Referrer.
3.3 Fora reserves the right to refuse to pay a Fee to any party under the Referral Schemes if the name of the referrer has not been provided in accordance with term 3.2.
3.4 Fora will pay all Fees due under the Office Space Referral Scheme:
a) Regarding the Referral Scheme at clause 1.1(a), once all sums owed by the relevant Referee have been paid for the period used to calculate the Fee; and
b) Regarding the Referral Scheme at clause 1.1(b), after the viewing has taken place.
3.5 Any tax payable on Fees will be the sole responsibility of the Referrer and Fora accepts no liability in relation to any VAT or other tax owed.
4. General
4.1 Referees and Referrers are deemed to have accepted and agreed to be bound by these term upon informing Fora that they wish to participate in one of the Referral Schemes in accordance with terms 3.1 and 3.2.
4.2 Fora reserves the right to hold void, cancel, suspend, or amend the terms of the Referral Schemes at any time. These terms shall supersede any previous terms in respect of the Referral Schemes.
4.3 Fora may discontinue the Referral Schemes for new participants at any time, in its absolute discretion.
4.4 No other offers or promotions offered by Fora will be available in conjunction with the Referral Schemes and only one fee will be paid our per referral. For the avoidance of doubt, payment of the Fee under clause 1.1(b) will not preclude a Referrer from receiving payment of the Fee under clause 1.1(a).
4.5 Referrers are responsible for ensuring that they are not prohibited either by contract or any statutory or legal obligation or duty from accepting a Fee and Fora accepts no liability in respect of a failure by a Referrer adhere to this term 4.5.
4.6 Insofar as is permitted by law, Fora will not in any circumstances be responsible or liable to compensate any party or accept any liability for any loss, damage suffered by a party as a result of participation in the Referral Scheme.
4.7 Personal data supplied by a Referrer or Referee whilst participating in one of the Referral Schemes will be dealt with in accordance with the Fora Privacy Policy.
4.8 The operation of the Referral Scheme will be governed by English law and participants in the promotion submit to the jurisdiction of the English courts.
